These Terms of Use ("Terms") constitute a legally binding agreement between you — whether as an individual visitor, a registered user, or an authorised representative of an enterprise customer ("you" or "User") — and Operion Technologies Private Limited (trading as OperionAI, "we", "us", or "Company"), governing your access to and use of:
By accessing the Website, submitting a demo request, creating an account, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
Where you access the Platform as an Authorised User of an enterprise customer, your use is also governed by the Master Services Agreement (MSA) and any applicable Order Form between that customer and OperionAI. In the event of a conflict, the MSA shall prevail for commercial and operational matters.

The OperionAI Platform is designed exclusively for enterprise and business use. It is not a consumer product and is not intended for personal or household use.
Access to the Platform requires the creation of an account by the enterprise customer, following execution of a Master Services Agreement. Authorised Users are designated by the customer and provided with credentials by OperionAI.
You are responsible for:
Credentials are personal to the designated Authorised User and must not be shared with or transferred to any other individual or entity. OperionAI shall not be liable for any loss or damage arising from your failure to maintain account security.
OperionAI reserves the right to suspend or terminate access to any account immediately, without prior notice, where: (a) there is evidence of unauthorised use or security compromise; (b) the account is used in violation of these Terms; or (c) the underlying enterprise contract has expired or been terminated.
Subject to your compliance with these Terms and, where applicable, your organisation's MSA, OperionAI grants you a limited, non-exclusive, non-transferable, revocable licence to:
This licence does not include any right to resell, sublicense, or otherwise make the Platform available to third parties, or to use Platform outputs for any purpose not related to your organisation's contracted use cases.
You agree not to use the Website or Platform for any of the following:
Any use of the Platform or Website in violation of Section 6 may result in immediate account suspension, termination of the enterprise contract, and may give rise to legal liability.
All intellectual property in and to the Platform — including but not limited to software source code, AI models, algorithms, agent logic, training methodologies, databases, user interfaces, designs, trademarks, brand assets, and documentation — is the exclusive property of Operion Technologies Private Limited. These are protected by applicable intellectual property laws.
Nothing in these Terms or any Order Form transfers any ownership of OperionAI's intellectual property to you or your organisation. The licence granted under Section 5 is strictly a right to use the Platform as a service.
You retain all rights, title, and interest in and to the data, documents, and content you submit to the Platform ("Customer Data"). OperionAI does not acquire any ownership rights in Customer Data. You grant OperionAI a limited, non-exclusive licence to process Customer Data solely to the extent necessary to provide the contracted Services.
If you provide OperionAI with any suggestions, feedback, or ideas regarding the Platform ("Feedback"), you grant OperionAI a worldwide, royalty-free, perpetual, irrevocable licence to use, implement, and incorporate such Feedback into the Platform without any obligation of compensation or attribution.
Your use of the Platform may involve submitting business data, documents, and other materials. By doing so, you represent and warrant that:
OperionAI's processing of Customer Data is governed by our Privacy Policy and, for enterprise customers, the Data Processing Agreement incorporated into the MSA.
The Platform uses AI and machine learning to automate business processes and generate outputs including data extractions, classifications, recommendations, and alerts. You acknowledge and agree that:
The Platform may integrate with or link to third-party services, including cloud infrastructure providers, ERP systems, logistics portals, and other enterprise tools. OperionAI is not responsible for the content, availability, or practices of any third-party service.
Use of third-party integrations may be subject to the third party's own terms of service. OperionAI's infrastructure relies on services including Google Cloud Platform and Google AI, which operate under their respective terms. OperionAI is not liable for disruptions, data incidents, or output quality issues originating from third-party infrastructure beyond OperionAI's reasonable control.
Access to the Platform is subject to the commercial terms set out in the applicable Order Form or Statement of Work. Key commercial terms include:
Website access for informational purposes is free of charge and does not require account creation.
These Terms apply from your first access to the Website or use of the Services and continue until terminated. Platform access is governed by the term of the applicable MSA or Order Form.
Enterprise customers may terminate Platform access in accordance with the termination provisions of the applicable MSA, generally requiring 60–90 days' prior written notice.
OperionAI may suspend or terminate your access to the Website or Platform immediately where:
Upon termination: (a) all licences granted to you under these Terms cease; (b) you must immediately cease using the Platform; (c) OperionAI will provide a downloadable export of Customer Data within 15 days; and (d) provisions that by their nature survive termination (including Sections 7, 13, 14, 15, 16, and 17) shall continue in effect.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms excludes warranties that cannot lawfully be excluded under applicable Indian law.
To the maximum extent permitted by applicable law:
The limitations above do not apply to liability arising from (a) death or personal injury caused by OperionAI's negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot lawfully be limited or excluded under applicable Indian law.
You agree to indemnify, defend, and hold harmless OperionAI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
OperionAI will indemnify you against claims arising from OperionAI's breach of these Terms, infringement by OperionAI's own Platform of a third party's intellectual property rights, or OperionAI's gross negligence or wilful misconduct, subject to the caps set out in Section 14.
Each party agrees to maintain in strict confidence all Confidential Information received from the other party. Confidential Information means all non-public, proprietary, or sensitive information including, but not limited to, business plans, technical architecture, AI model details, pricing, and Customer Data.
Neither party shall disclose Confidential Information to any third party without prior written consent, except: (a) to employees or advisors on a strict need-to-know basis; or (b) as required by law, with prior written notice where permitted.
These confidentiality obligations survive expiry or termination of these Terms for a period of 3 (three) years.
These Terms and any dispute arising from your use of the Website or Platform shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Subject to the arbitration provisions in Section 18, you irrevocably submit to the exclusive jurisdiction of the courts at Mumbai, India for any matter arising out of or in connection with these Terms.
The parties shall first attempt to resolve any dispute through good-faith negotiations between designated representatives within 30 (thirty) days of written notice of the dispute.
If unresolved, any dispute shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), with the following terms:
Nothing in this Section prevents either party from seeking urgent interlocutory or injunctive relief from a competent court to protect its rights pending arbitration.
OperionAI reserves the right to amend these Terms at any time. We will provide notice of material changes by:
Your continued use of the Website or Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by OperionAI to enforce any provision of these Terms does not constitute a waiver of the right to enforce it subsequently.
These Terms, together with the Privacy Policy and, for enterprise customers, the applicable MSA and Order Form, constitute the entire agreement between you and OperionAI with respect to the subject matter herein, and supersede all prior agreements and understandings.
You may not assign or transfer your rights or obligations under these Terms without OperionAI's prior written consent. OperionAI may assign its rights in connection with a merger, acquisition, or sale of substantially all assets.
